This acquisition aligns with SaverOne's strategy to expand its portfolio of solutions and enhance its product offerings.
Under the terms of the agreement, SaverOne will acquire the intellectual property (IP) and inventory related to Micronet's Generation 3 camera at no upfront cost. The acquisition is structured as an earn-out agreement, with future royalty payments to Micronet contingent upon the sale of products incorporating the acquired camera technology.

NHTSA EMERGENCY BRAKING GUIDELINES
In May 2024, the National Highway Traffic Safety Administration (NHTSA) announced a series of new requirements for all new vehicles to be sold in the US designed to reduce the risk to pedestrians and vehicle occupants. By 2029 all new vehicles sold in the US will be required to have automatic emergency braking to avoid both rear-end collisions and pedestrians. This is an oversimplification of the rules but it speaks to the fact that around the globe there is a push to protect all road users with tools such as automatic emergency braking.
While SaverOne's driver distraction prevention solution would not necessarily help manufacturers meet this goal, we do think that the company's vulnerable road user (VRU) tool could fit within a suite of advanced driver assistance systems. A critical part of protecting people that are outside of a traditional vehicle (cyclists, pedestrians, etc.,) is to identify these people, their direction and speed of travel relative to the vehicle approaching them.
As we've discussed before, the existing suite of tools – cameras, radar, and LiDAR – do an adequate job of identifying vulnerable road users when the vehicle has a direct line of sight to the person on the road, but when that line of sight is interrupted by a building, parked car or other object, automatic emergency braking tools struggle to recognize these people in time to prevent an accident.
SaverOne's vision for its VRU solution – using the RF signal of a cell phone of the pedestrian or cyclist to identify their position and direction of travel – is a unique approach and could be complementary to existing tools. While the SaverOne VRU solution is likely years from commercialization and will require Mn's of doll-ars in capital to bring it to market, we believe that the requirement to have a complete emergency braking system in vehicles in 2029 will speed in-vest-ment into new solutions like the SaverOne VRU solution.

The OEM agreement covers the integration of SaverOne's safety technology within IVECO's vehicles through their manufacturing line. Future further evolutions may include the integration of SaverOne's mobile app with IVECO's mobile app, and SaverOne's hardware and software within IVECO's assembly line. The agreement covers Volvo buses in the Mexican coach-bus market, a market in which Volvo has leadership with approximately 50% market share of new coach-bus vehicle sales.
Under the OEM agreement, SaverOne's Safety Solution, known as the 'Driver Distraction Prevention System' (DDPS), which is aimed at reducing cell phone-related distractions and accidents, will be installed in new Volvo buses that are manufactured for the Mexican market. Volvo Bus customers in Mexico will be offered the SaverOne Safety Solution pre-installed, following integration into Volvo's assembly line.
In addition, the agreement also allows for a retrofit of existing buses covered under Volvo's maintenance agreement (representing approximately 3,000 buses in the market), which will install SaverOne's Safety Solution as an aftermarket installation.
